Manager, M&A and Corporate Development

About the Position

The primary function Manager, M&A Corporate Development is to support the merger and acquisition and corporate planning process to build Goodyear’s current and future portfolio.  This position will manage, support, and assist with the due diligence process, valuation analysis projects, corporate strategy and corporate planning projects as an individual contributor. It will lead various workstreams of M&A transactions from beginning to end.  The role will proactively source deals that fit the Goodyear strategy and lead portfolio review analysis.

 

Primary Responsibilities

  • Guides portions of the strategic development process. Conducts analysis to understand and frame thinking on key strategic issues to drive strategy for the entire corporation.
  • Studies companies / markets / industries and assesses attractiveness to determine areas for acquisition or divestiture and recommends appropriate action. Reviews and assesses the analysis provided. Manages M&A and planning projects.
  • Leads industry analysis and target identification. Performs detailed valuations on acquisition / divestiture opportunities. Leads due diligence efforts across corporate functional and business operating teams. Participates on acquisition project teams for specific acquisitions.
  • Provides insights and recommendations based on solid assessments. Develops compelling materials to advance and/or advocate our corporate strategy. Supports presentation of valuation and strategy work to senior leadership.  Provides assistance in preparing for negotiations and actively participates in the negotiation process.
  • Supports contract negotiations. Supports and designs the transition plan for integration teams.

 

Required Education and Experience

  • Bachelor’s degree.
  • Minimum of 8 years of work experience with 4  of those years in a related field such as corporate development, corporate strategic planning, consulting, and investment banking
  • Minimum one year demonstrated working knowledge of valuation models and methodologies
  • Public and private transactions (buying and selling); joint venture formation and execution; minority investment and private placement

  • MBA
  • Demonstrated strategic agility, business acumen, critical thinking; prior experience in FP&A, prior project leadership skills and experience in all phases of deal transactions; experience in valuation of IP, software, intangibles; financial statement analysis; strategic analysis; global outlook
  • Bring order to ambiguity; superior written and oral communication skills; interpersonal skills that quickly establish relationships; helps create a team environment; high ethical behavior; flexible - ability to work extended hours and travel (as needed).
